Inspection and Claims Clause.

Article 1: Inspection upon Arrival.

1.1. The Buyer shall have the right to inspect the

Goods upon their arrival at the port of destination. The

inspection shall be conducted within a reasonable time

after the Goods have been discharged from the carrying

vessel and shall be carried out in accordance with the

terms and conditions stipulated in this Contract.

1.2. If the inspection reveals any discrepancy in

quantity, weight, quality, or specifications of the Goods

compared to those specified in this Contract, the Buyer

shall promptly notify the Seller in writing, specifying the

nature and extent of the discrepancy.

1.3. The Seller shall, within a reasonable time after

receipt of the Buyer's notification, either replace the

Goods or make adjustments to the contract price, depending

on the circumstances.

Article 2: Claims.

2.1. If the inspection reveals that the Goods do not

conform to the terms and conditions of this Contract, the

Buyer shall have the right to file a claim against the

Seller for compensation for any losses incurred, including

but not limited to losses resulting from rejection of the

Goods, replacement of the Goods, additional costs incurred

due to inspection and re-inspection, and any other

reasonable expenses incurred in connection with the claim.

2.2. The Buyer shall provide the Seller with all

necessary documents and evidence to support the claim,

including inspection reports, invoices, and any other

relevant documents.

2.3. The Seller shall, upon receipt of a valid claim,

promptly investigate the matter and, if the claim is found

to be valid, shall either replace the defective Goods or
